1. The agreement
These Terms of Service (the "Terms") are a binding agreement between you ("you," "your") and MaxVne Solutions Inc. ("MaxVne," "we," "us," "our"), a Canadian company incorporated in British Columbia. By accessing or using the MaxVne service, you agree to these Terms and to our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the service.
2. What MaxVne is
MaxVne operates a verified, anonymous-until-consent matching network for aviation. The service includes:
- A pilot logbook, flight planner, currency tracker, and document vault.
- An engineer maintenance log, type-authorization tracker, and credential vault.
- A company-side search interface for the verified worker pool.
- Aggregated, anonymized market intelligence (salary trends, hiring velocity).
- A CFI Workspace add-on for digital endorsements, student rosters, and school-branded artifacts.
MaxVne is not an employer, employment agency, recruiter, or regulator. We do not place candidates, conduct interviews, issue offers, run background checks, issue or revoke aviation credentials, or guarantee employment outcomes. We provide tooling and a verified marketplace; the hiring decision is between the operator and the worker.
3. Eligibility
- You must be at least 18 years of age to subscribe to a paid plan.
- You must be the actual holder of any pilot, engineer, or instructor credentials you declare on the platform. Declaring credentials you do not hold is a material breach of these Terms.
- If you are using MaxVne on behalf of a company, you represent that you are authorized to bind that company to these Terms.
- You must not use MaxVne if you are barred from receiving services under the laws of Canada, your country of residence, or any country to which we provide service.
4. Your account
- One account per individual human. Accounts are not transferable.
- You are responsible for the confidentiality of your login credentials and for any activity that occurs through your account. Use a strong password and enable multi-factor authentication when prompted.
- Notify us immediately if you suspect unauthorized access: security@maxvnesolutions.com.
- You agree to keep your credential information accurate and current. Stale information (expired medical, lapsed type rating) is your responsibility to update — companies relying on the marketplace may otherwise contact you for opportunities you are no longer current for.
5. Subscription terms
MaxVne offers the following paid subscription tiers for the pilot side. Prices are in US dollars and exclude any applicable taxes.
- Pilot — $9.99 per month, or $99.99 per year. Includes the verified badge, full logbook + planning, currency tracking, and 10 monthly profile views by operators.
- Professional — $17.99 per month, or $159.99 per year. Includes everything in Pilot, plus unlimited profile views, full market intel with salary insights, QR-verified document exports, larger storage, and earlier expiry alerts.
- CFI Workspace add-on — $4.99 per month, or $49.99 per year. Requires an active Pilot or Professional subscription. Includes digital endorsement signing, student roster management, school-branded PDF exports, and freelance-practice management for independent flight instructors.
Company-side subscriptions, engineer-seat fees, and search-token pricing are described separately on the platform at the time of sign-up.
Subscriptions auto-renew at the end of each billing period (monthly or annual) using your stored payment method, until you cancel. We will email you a renewal reminder before each annual renewal.
We may change prices at any time; price changes do not affect the current paid billing period. We will provide at least 30 days' notice of any price increase that takes effect at your next renewal. If you do not accept the new price, you may cancel before the next billing period.
6. Trial
New accounts receive a 7-day free trial with full Pilot-level access. No credit card is required to begin the trial. Trial accounts are not visible to operators in the marketplace (you do not appear in search results during the trial).
At the end of the trial, you may subscribe to keep marketplace visibility and the verified badge. If you do not subscribe, you retain free, read-only access to your logbook and planning tools but will no longer be discoverable in the marketplace until you subscribe.
7. The FOUNDING 50 lifetime offer
This section binds MaxVne to a long-term commitment. Read it carefully.
The FOUNDING 50 offer is limited to the first 50 approved members and includes a lifetime price guarantee on Professional Annual. We've written the conditions plainly so there are no surprises later.
7.1 What the offer is
Eligible founding members may use the promotion code FOUNDING50 at checkout to receive 50% off the Professional Annual subscription, for the life of their account. At current pricing this means $79.99 per year in place of the regular $159.99. The discount applies on each annual renewal for as long as your account remains in good standing.
7.2 Eligibility
- The promotion code is issued by email to approved applicants who completed the Founding 50 application process.
- The total number of redemptions is capped at 50, after which the code will be deactivated.
- The code applies to the Professional Annual subscription only. It does not apply to the Pilot tier, monthly Professional billing, the CFI Workspace add-on, or any other product.
7.3 What "for life" means in practice
- Continuous renewal — your 50%-off rate applies on each annual renewal as long as your subscription remains active.
- Brief lapses — if your subscription lapses unintentionally (e.g. expired card) and you reactivate within 90 days, your founding rate is restored.
- Intentional cancellation — if you cancel and do not resubscribe within 90 days, the founding rate is forfeited. You may still resubscribe at the regular price.
- Tier or interval changes — if you switch from Professional Annual to Pilot or to monthly Professional billing, the discount is paused. You may switch back to Professional Annual at any time and the founding rate resumes.
- Product restructuring — if MaxVne meaningfully restructures the Professional tier, we will preserve your equivalent value: either the new product at 50% off, or whichever tier most closely matches the Professional benefits you originally subscribed to. We will not use restructuring as a workaround to discontinue the discount.
- Material price changes — if we materially increase the Professional Annual price, your founding rate continues to track 50% of the then-current price. You will not be left paying more than 50% of what new Professional Annual subscribers pay.
7.4 What can void the offer
- Material breach of these Terms — for example, declaring credentials you do not hold, scraping the marketplace, or using the platform for off-platform recruiting solicitation.
- Chargebacks or non-payment.
- Account termination for cause under Section 17.
- If MaxVne ceases operations or the platform is permanently discontinued, the offer ends along with the service. Where possible, we will provide written notice and a reasonable wind-down period.
7.5 Non-transferable
The founding rate is personal to your account and may not be transferred, sold, gifted, or assigned. If your account is closed and a new account is opened (regardless of email address), the new account is treated as a new subscriber at regular pricing.
8. Cancellation, billing, refunds
- You can cancel at any time from your account settings. Cancellation takes effect at the end of the current billing period.
- We do not provide refunds for partial periods (e.g. cancelling mid-year does not refund the unused months). The period you've already paid for runs out.
- If you believe you've been billed incorrectly, contact billing@maxvnesolutions.com within 60 days of the charge.
- After cancellation, your account moves to read-only and you have a 12-month grace period to log in and export your data before deletion (see the Privacy Policy).
- Taxes (GST/HST/PST/VAT/sales tax) are added at checkout where applicable.
- Payments are processed by Stripe. MaxVne does not store credit-card numbers.
9. Verification disclaimer
The MaxVne verified badge indicates that we have orchestrated specific checks through third parties:
- Identity verification via Stripe Identity (government-ID + selfie match).
- Credential verification against the public airmen registry of your declared regulatory authority (FAA Airmen Certification Database, Transport Canada Airmen records, and others as we add them).
MaxVne does not guarantee the absolute accuracy of any third-party data source. Public airmen registries are updated on their own schedules; our local mirrors refresh periodically. Identity verification depends on the accuracy of Stripe Identity's checks. Operators relying on the verified badge in hiring decisions remain responsible for their own pre-employment screening, including any final-stage credential verification with the issuing authority.
The verified badge is not a guarantee of competence, character, or fit for any specific role. It is a confirmation that the credentials shown match a public record at the time of the most recent verification check.
10. Acceptable use
You agree not to:
- Declare credentials you do not hold, or otherwise misrepresent your qualifications.
- Create accounts for other people without their knowledge or consent.
- Scrape, harvest, or systematically extract data from the platform by automated means.
- Use marketplace contact for recruiting or hiring solicitations outside the platform (we built the marketplace to disintermediate recruiters; using it as one is grounds for termination).
- Probe, test, or attempt to compromise the security of the platform without prior written consent.
- Use the platform to send spam, harass other users, transmit malicious code, or engage in any conduct that is unlawful, fraudulent, or harmful.
- Use the platform in violation of any applicable export-control, sanctions, anti-money-laundering, or aviation-regulatory law.
- Reverse-engineer, decompile, or attempt to derive source code from the platform.
- Use the platform in a way that interferes with other users' access or with the platform's normal operation.
11. Your content
You retain ownership of the content you upload to MaxVne (logbook entries, credential documents, profile information, messages). By uploading content, you grant MaxVne a worldwide, non-exclusive, royalty-free licence to host, process, transmit, and display that content solely to the extent necessary to operate the service for you and to deliver the features you've subscribed to (e.g. surfacing your anonymous qualifications to operators who match your filters).
You represent that you have the right to upload the content you upload, and that doing so does not violate any third-party rights or applicable law.
Aggregated, anonymized data derived from many users (e.g. salary trends, hiring velocity intel) may be published by MaxVne. Such aggregates are constructed with small-cell suppression and do not identify any individual.
12. Intellectual property
The MaxVne platform — including software, design, copy, trademarks, and trade dress — is owned by MaxVne Solutions Inc. and protected by Canadian and international intellectual property law. We grant you a limited, revocable, non-exclusive, non-transferable licence to use the platform for its intended purpose, subject to these Terms.
"MaxVne" and the MaxVne logo are trademarks of MaxVne Solutions Inc. No use of our trademarks is permitted without our prior written consent.
13. Privacy
Our handling of personal information is governed by the Privacy Policy, which is incorporated into these Terms by reference. The core promise: your encrypted identity layer is separated from your anonymous searchable qualifications, and operators see your qualifications under a code (e.g. P099) until you accept an introduction.
14. Disclaimer of warranties
The platform is provided "as is" and "as available" without warranty of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, or that the platform will be uninterrupted, error-free, or completely secure. To the maximum extent permitted by applicable law, MaxVne disclaims all such warranties.
Some jurisdictions do not allow the exclusion of certain warranties. To the extent those laws apply, the disclaimers above apply only to the maximum extent permitted.
15. Limitation of liability
To the maximum extent permitted by applicable law, MaxVne, its directors, officers, employees, agents, and processors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenue, data, business opportunities, or goodwill, arising from or related to your use of the platform — even if we have been advised of the possibility of such damages.
Our total aggregate liability arising from or relating to these Terms or the platform, regardless of theory of liability, will not exceed the greater of (a) the amount you paid to MaxVne in the twelve months preceding the event giving rise to the claim, or (b) one hundred Canadian dollars (CAD $100).
Nothing in these Terms limits liability that cannot be limited under applicable Canadian consumer protection law (including, where applicable, the BC Business Practices and Consumer Protection Act).
16. Indemnification
You agree to defend, indemnify, and hold harmless MaxVne and its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from (a) your use of the platform in breach of these Terms, (b) your violation of any law or any third-party right, or (c) any content you upload to the platform that you did not have the right to upload.
17. Termination
You may close your account at any time from your account settings or by emailing support@maxvnesolutions.com.
We may suspend or terminate your account, with or without notice, if you breach these Terms, if your account presents a security or fraud risk, if continued service would expose MaxVne to legal risk, or if your account is inactive for an extended period after closure. Where reasonably possible, we will provide notice and an opportunity to cure before termination for non-emergency reasons.
Sections that by their nature should survive termination — including 11 (Your content licence in respect of already-shared aggregates), 12 (Intellectual property), 14 (Disclaimer), 15 (Liability), 16 (Indemnification), 18 (Governing law), and this sentence — survive.
18. Governing law and disputes
These Terms are governed by the laws of the Province of British Columbia and the laws of Canada applicable in British Columbia, without regard to conflict-of-law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Any dispute, controversy, or claim arising out of or related to these Terms or the platform will be brought exclusively in the courts of British Columbia located in the City of Kelowna, and you irrevocably consent to the jurisdiction and venue of those courts. Where consumer-protection law gives you the right to bring a claim in the courts of your local jurisdiction, that right is preserved.
19. Changes to these terms
We may modify these Terms from time to time. Material changes will be communicated by email and via a notice on the website at least 30 days before they take effect, giving you time to review or, if you disagree, close your account. Continued use of the platform after the effective date of a change constitutes acceptance of the change. The "Last updated" date at the top of this page reflects the most recent version.
20. General provisions
- Entire agreement — these Terms and the Privacy Policy are the entire agreement between you and MaxVne regarding the platform, superseding any prior agreements or understandings.
- Severability — if any provision is found unenforceable, the remaining provisions remain in full force.
- Waiver — failure by MaxVne to enforce a provision is not a waiver of that provision.
- Assignment — you may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets, on notice to you.
- Force majeure — neither party is liable for delays or failures caused by events outside its reasonable control.
- Notices — we may give you notice by email to the address on your account; you may give us notice by email to the addresses below.
